Title: HOW TO REGISTER A TRUST IN BOTSWANA: PRACTICAL STEPS AND LEGAL REQUIREMENTS
Last week we introduced Trusts, defined what a Trust is and the different typed of Trusts. In this week’s article, we break down the process of registering a trust in Botswana. Whether you’re planning for generational wealth, protecting assets, or ensuring your loved ones are cared for, understanding how to properly set up and register a trust is essential.
Key Legal Requirements
To register a trust in Botswana, the following are required:
A Trust Deed: This is the founding document which outlines the objectives of the trust, duties and powers of trustees, identification of beneficiaries, and how assets are to be managed.
A Founder: The individual establishing the trust.
Trustees: At least one trustee is required, but typically two or more are appointed to ensure continuity and accountability.
Beneficiaries: Clearly defined individuals or groups who will benefit from the trust.
Assets: The trust must be vested with initial property or assets, even if nominal.
Steps to Register a Trust in Botswana
Step 1: Draft the Trust Deed
Engage a legal professional to draft a Trust Deed that complies with the Trust Property Control Act (Cap 31:03). The deed must clearly state:
The name of the trust.
Objectives of the trust.
Powers and responsibilities of the trustees.
The process of appointing or removing trustees.
How the trust property is to be managed and distributed.
Step 2: Lodge with the Master of the High Court
Submit the Trust Deed to the Master of the High Court together with:
Completed application forms (available from the Master’s office).
Certified copies of the identity documents of the founder and trustees.
A schedule of assets initially vested in the trust.
Trustee acceptance forms, signed and witnessed.
Step 3: Master’s Approval
The Master reviews the documents to ensure compliance with the law. If satisfied, the Master will register the trust and issue a Letter of Authority appointing the trustees.
Step 4: Obtain a Trust File Number
Once registered, a trust file number is allocated, and the trust officially becomes a legal entity capable of owning property and conducting its affairs.
Post-Registration Requirements
Trustees must act in the best interests of the beneficiaries.
Trust records and accounts must be maintained and may be requested for inspection by the Master.
Any changes to the trust (e.g., trustees, deed amendments) must be lodged with and approved by the Master.
Why You Should Use a Professional
While it is possible to attempt registration yourself, engaging a professional ensures your trust is legally sound and aligned with your intentions. Errors in drafting or registration can cause unnecessary delays or legal disputes down the line.
In next week’s article, we will explore the advantages and disadvantages of a trust compared to a will, examining which option may be more suitable and why.
